Manning's Global Community
A Certificate of Formation for Manning's 85, Inc. (the "Corporation") was filed in the Office of the Secretary of State of Texas on December 3, 2008. This filing was a precursor to consideration by the IRS for the granting of a 501(c)(3) exempt status under the Internal Revenue Code. As a result of these actions, the Corporation was launched in the winter of 2009 as a non-profit corporation.
Article VI of the Certificate of Formation states, "Th[e] nonprofit corporation is organized and operated exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations within the meaning of § 501(c)(3) of the Internal Revenue Code. In furtherance thereof, the Corporation may receive property by gift, devise or bequest, invest and reinvest the same, and apply the income and principal thereof, as the board of directors may from time to time determine, either directly or through contributions to any charitable organization or organizations, exclusively for charitable, or educational purposes, and engage in any lawful act or activity for which corporations may be organized under the Act."
In addition, the framework and guide for the functioning of the Corporation is amply set out in the second paragraph of Article VI, which states:
"No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth above. No substantial part of the activities of this corporation shall be for the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office."
In fulfillment of its commitment to the Certificate of Formation and its charter under the Internal Revenue Code for 501(c)(3) corporation, the following Mission Statement was adopted.
MISSION STATEMENT
It is our mission to coordinate, collaborate and disseminate timely, useful information, and perform charitable services to improve existing infrastructure, consequently enhancing productivity and quality of life for the community of past and present students. We intend to encourage educational advancement and moral fortitude through various programs and projects.
HOW WE FUNCTION
The affairs and day-to-day functioning of the Corporation is vested in the Board of Directors.
Article II, subsection 2.1 of the Bylaws reflect this by stating; "The affairs of the Corporation shall be managed by the Board of Directors.
The Board of Directors meets from time to time to discuss and set out programs for the Corporation. The Manning's past students community is kept abreast of the Board's planning and decisions through the following means:

Mannings85.com was launched on September 29, 2008, by a group of Manning’s School past students who were interested in planning a 25 year reunion for August 2010 for the Class of 85. However, after the launch of the site, it was evident, based on the overwhelming requests and comments from students of other year groups, that there was a great desire to assist with issues currently affecting Manning’s School.
The logo's below are representative of the branches and stages of the organization. The first logo 'MHS 85' was used to launch the website. The second logo is our corporate logo "Manning's 85, Inc". The third logo is the new and final website logo.
